A. TERMS AND CONDITIONS OF THE LOYALTY CUSTOMER CARE PROGRAM OF GOLDEN GATE GROUP JOINT STOCK COMPANY
I. Scope of Application
The Terms and Conditions (“T&Cs”) of the Loyalty Customer Care Program of Golden Gate Group Joint Stock Company (“the Program”) apply to Loyalty Customers (“Loyalty Customers” or “LCs”), Golden Gate Group Joint Stock Company, and the partners (“Partners”) participating in the Program.
Golden Gate Group Joint Stock Company is the entity that manages, operates, and is responsible for implementing the Program, and is the owner of the Golden SpoonS application.

A Loyalty Customer is any individual aged 15 or older who has validly registered to participate in the Program, holds a Golden SpoonS customer identification account (“Account”), has activated it, and owns a loyalty card, including a physical card and/or a Golden SpoonS mobile application account managed and operated by Golden Gate Group Joint Stock Company, or any other form as prescribed by the Program from time to time.
Partners include strategic partners with agreements with Golden Gate Group Joint Stock Company and other partners of the Program.
By participating in the Program, Loyalty Customers acknowledge that they have read, understood, and agreed to these T&Cs and all Program policies publicly announced on the website https://goldenspoons.com.vn/ (“Website”). The T&Cs and policies may be changed and updated from time to time without prior notice to Loyalty Customers. Such updated T&Cs shall take effect immediately upon publication.
II. Information Collection by Golden SpoonS
Loyalty Customers agree that Golden Gate Group Joint Stock Company may collect, store, maintain, and update personal information data (full name, phone number, email, profile picture) provided and updated by the Loyalty Customer, as well as any arising information (if any).
III. Rights and Responsibilities of Loyalty Customers, Golden Gate Group Joint Stock Company, and Partners
Loyalty Customers shall enjoy the basic benefits of holding a Golden SpoonS mobile application account and special privileges depending on the Loyalty Customer’s tier, as publicly announced on the Website and the Golden SpoonS Application, including but not limited to the following benefits:

Accumulating Points (as defined in Section B of these T&Cs) in the Account according to the applicable accumulation rate and conditions.

Using the Points accumulated in the Account.

Participating in promotional/privilege programs exclusively for Golden SpoonS mobile application account holders from Golden Gate Group Joint Stock Company and/or Partners.
Loyalty Customers have the right to access and check their personal information (including editing and updating), and accumulated Points in their Account through various channels such as the Golden SpoonS application or the Program’s call center (“Call Center”).
Loyalty Customers are solely responsible for any and all expenses, taxes, fees, claims, or liabilities (if any) arising from enjoying the benefits of the Program.
Each individual may create only one account to participate in the Loyalty Customer Program, linked to one phone number. Each Loyalty Customer understands, undertakes, and guarantees that they are the sole user of their Golden SpoonS mobile application Account and are responsible for keeping their Account information secure. Loyalty Customers shall not provide their Account information to any third party in a manner inconsistent with the Program and shall bear sole responsibility for any consequences resulting from violations of this regulation.
Loyalty Customers shall not exchange, lend, buy, or sell Accounts or any other Loyalty Customer benefits arising from the Program, including but not limited to coupons, vouchers, and the right to participate in promotional draws for Loyalty Customers on the Golden SpoonS application.
Loyalty Customers participating in the Program (“Data”) agree to allow Golden Gate Group Joint Stock Company/Partners to use such Data for purposes including but not limited to: facilitating transactions and Points usage under the Program, introducing new products and services of Golden Gate Group Joint Stock Company and Partners. All Data shall be protected and used in accordance with the Privacy and Information Sharing Policy publicly announced on the Website and updated from time to time.
In the event that a Loyalty Customer’s contact information (phone/email/address, etc.) changes from what was registered in the Program, the Loyalty Customer is obliged to promptly update the changes via the Website, Golden SpoonS mobile application, or Call Center to avoid unauthorized Points usage under the Program. Golden Gate Group Joint Stock Company shall not be liable for any errors, losses, or damages arising from or related to a Loyalty Customer’s failure to update their information in accordance with these T&Cs.
All notifications/complaints from Loyalty Customers to Golden Gate Group Joint Stock Company must be made via the Call Center or the official program email address of Golden Gate Group Joint Stock Company ([email protected]).
Golden Gate Group Joint Stock Company/Partners have the right to request Loyalty Customers to provide information and/or present valid personal identification documents before using Points and/or receiving privileges in certain cases.
Golden Gate Group Joint Stock Company has the right to inspect and monitor Loyalty Customer Accounts at any time without prior notice to ensure customer benefits and compliance with the Program’s regulations.
Golden Gate Group Joint Stock Company/Partners shall be exempt from liability in the following cases:

The data processing system, software, or signal transmission system encounters a malfunction, error, cyberattack, or any other objective reason beyond the control of Golden Gate Group Joint Stock Company or Partners.
Golden Gate Group Joint Stock Company/Partners have the right to refuse, cancel, reclaim, or withdraw privileges or Points in the Account that have been or will be granted under promotional programs without prior notice to Loyalty Customers in the following cases:

Golden Gate Group Joint Stock Company/Partners are unable to transfer Points/privileges to customers due to objective reasons beyond their control.

Points are credited to the Account inaccurately or invalidly under the Program’s regulations.

The Loyalty Customer violates the Program’s regulations/privilege policies as announced by Golden Gate Group Joint Stock Company and/or Partners from time to time.

In cases of force majeure as prescribed by law.
Golden Gate Group Joint Stock Company and Partners have the right to assign or transfer, in any form, all or part of the rights and obligations arising from the Program to any third party of their choice by notifying Loyalty Customers.
Except for commitments to ensure Loyalty Customer rights regarding validly accumulated Points from the Program in the Account, Golden Gate Group Joint Stock Company shall not be liable for any losses or damages, whether direct or indirect, of Loyalty Customers related to other promotional programs, including but not limited to cases where Partners discontinue promotional programs, withdraw or limit any services, benefits, or privileges; or in cases of force majeure as prescribed by law.
IV. Points, Accumulation, and Use of Points
Points in the Customer’s Account (“Points”) are used as a deduction from the total value of goods and services (before VAT) consumed under the Program but cannot be converted into cash, gifted, donated, inherited, or transferred in any form.
All Points under complaint or dispute shall not be used during the period of resolving such complaint or dispute.
Validity of Points: Points accumulated in the application account during a quarter will expire on the last day of the following quarter.
Any conditions related to Points (Point accumulation value, Point conversion rate, etc.) and the procedures for accumulating, redeeming, or other features integrated into the Account from time to time will comply with the specific policies announced publicly by Golden Gate Group Joint Stock Company on the Website and the Golden SpoonS mobile application.
V. Termination of Customer Loyalty Rights
Customer Loyalty rights under the Program shall remain valid indefinitely unless terminated in the following cases:

The Customer sends a termination request to Golden Gate Group Joint Stock Company via the official contact/email address of the Program published on the Website.

The Customer intentionally uses the Account in violation of the Program rules and these Terms and Conditions.

The Customer passes away or in other termination cases as prescribed by law.

When the Program is terminated for any reason.
-
Termination in other cases as prescribed by the Program and these Terms and Conditions.
Misuse of the Golden SpoonS loyalty account includes, but is not limited to, lending, exchanging, buying, selling accounts/vouchers/coupons/G-coin points, and other transactions not involving services provided by Golden SpoonS/Golden Gate. If the account holder is found to have engaged in any of the above actions, Golden Gate Group Joint Stock Company reserves the right to unilaterally terminate that Customer’s loyalty rights.
VI. General Terms
Depending on actual conditions, the Program’s Terms and Conditions and other policies published on the Website and the Golden SpoonS mobile application may be amended, adjusted, or terminated at the sole discretion of Golden Gate Group Joint Stock Company or at the request of the Partner(s) and will be notified to the Customer on the Website.
Dispute Resolution: These Terms and Conditions are governed by the laws of Vietnam. All disputes arising from or related to these Terms and Conditions shall be resolved by the Parties through negotiation. If negotiation fails within 30 (thirty) days, either Party shall have the right to bring the dispute to the competent court in Vietnam in accordance with the law.
B. LOYALTY PROGRAM POLICY OF GOLDEN SPOONS – GOLDEN GATE GROUP JSC
In order to enhance the benefits for customers who own a Golden SpoonS application account/loyalty card, Golden Gate Group Joint Stock Company would like to inform the holders of the application account/card about certain adjustments and additions to the Golden SpoonS loyalty program policy.
I. Mechanism for accumulating G-coins into the application account/card
Holders of a Golden SpoonS loyalty application account/card, when visiting restaurants under the participating brands or placing orders via the Gdeli.vn website, will accumulate G-coins according to the following mechanism:

Birthday offers are valid for 7 days before, 7 days after, and on the actual birthday, totaling 15 days.

The amount of G-coin accumulated into the application account/card is calculated based on the total actual payment before VAT on the invoice.

The mechanism for accumulating G-coin and tier upgrade points for the application and card are the same.

The total G-coin accumulated during the current quarter will expire on the last day of the following quarter.
Example: On January 1, 2019, 100,000 G-coins are accumulated; on March 20, 2019, 50,000 G-coins are accumulated. The total G-coin in Q1 is 150,000 G-coins, which will expire on June 30, 2019.
Vouchers purchased from third-party partners such as Gift Pop, Got It, etc., do not accumulate G-coin (wallet points) or tier upgrade points. Points only accumulate on the actual payment amount after deducting all coupons/vouchers.
II. Mechanism for redeeming G-coin for coupons on the application
Customers use accumulated G-coin to redeem for coupons including:

Money value coupons
-
Gift item coupons
-
Partner coupons/vouchers
-
Gift combos
These coupons/vouchers have different redemption rates, usage periods, and usage locations.
Customers must carefully read the terms and conditions of each program before redeeming G-coin. Golden SpoonS is not responsible for refunding G-coin after customers have redeemed them on the application.
Additionally, the system also directly gifts coupons/vouchers to customers via wallet drops (customers do not need to redeem G-coin to receive these offers).
1 G-coin = 1 VND
III. Mechanism for using coupons on the application
For gift item coupons, staff will request customers to provide the code/QR code to verify and apply it on the E-Voucher page (http://evoucher.ggg.com.vn/) before printing the inspection slip and provisional invoice.
For money value coupons, customers can actively use them after viewing the provisional invoice on the application. The maximum payment limit for money value coupons is 50% of the invoice value before VAT. If customers choose to use a coupon amount exceeding 50% of the invoice, only 50% of the invoice value (before VAT) will be deducted. The excess amount will not be refunded (a warning appears on the app when using coupons).
Gift item coupons and money value coupons can be applied simultaneously, provided the total deduction before VAT does not exceed 50% of the invoice value before VAT.
After using coupons on the application, members still accumulate tier upgrade points and G-coin (wallet points) based on the actual amount paid before VAT after coupon/voucher deductions.
Example 1 (Applying money value coupon):

Invoice value before VAT is 900,000 VND.
-
Maximum payment by coupon (50% before VAT) is 450,000 VND.
-
Customer chooses to use a 500,000 VND coupon to pay.
-
Allowed deduction by coupon is 450,000 VND. The 50,000 VND difference is non-refundable.

Customer’s actual payment before VAT is 450,000 VND.
Example 2 (Applying both money value and gift item coupons):

Customer uses 4 Manwah Buffet meals priced at 419,000 VND each before tax. Total invoice before VAT is 1,676,000 VND.

Maximum coupon payment (money value + gift items) is 838,000 VND (50% before VAT).
-
Customer uses 1 gift coupon “Buy 4 get 1 Manwah Buffet free.” The remaining money value coupon limit is 838,000 – 419,000 = 419,000 VND.

Customer chooses to use money value coupons totaling 450,000 VND to pay.
-
Allowed money value coupon deduction is 419,000 VND. The 31,000 VND difference is non-refundable.

Customer’s actual payment before VAT is 838,000 VND.
IV. Member tier upgrade mechanism
After successful membership registration, customers start at Silver tier.
Members upgrade tiers in order: Silver → Gold → Diamond, according to cumulative spending tiers shown above. Total cumulative spending to evaluate tier is recorded for the past 8 years; transactions older than 8 years are not considered.
Once upgraded to Gold or Diamond, the account will not be downgraded.
V. Principles of account opening and use
Each customer has only one account linked to one phone number on Golden SpoonS.
For app users, it is necessary to update accurate email and birthday in the Golden SpoonS account to use point benefits and other privileges.
Customers must present their Golden SpoonS account on mobile at the time of transaction to accumulate and redeem points.
VI. Member tier classification
Tier conditions:

Silver: Activated Golden SpoonS account with total cumulative spending under 20 million VND.

Gold: Activated Golden SpoonS account with total cumulative spending from 20 million to under 70 million VND.

Diamond: Activated Golden SpoonS account with total cumulative spending of 70 million VND or more.
Note:
Immediately after successful account registration, customers start at Silver tier. If a Silver tier account with zero balance makes a purchase with invoice value of 70 million VND or more, they will be upgraded to Diamond tier.
Tier status is maintained indefinitely.
Cumulative spending for tier upgrades is based on invoice value after valid promotions and discounts, before VAT.
VII. Value-added tax invoices
The amount shown on the VAT invoice is the total product/service value after deducting valid promotions and discounts.
VIII. Rights of Golden SpoonS card/application account holders

Accumulate and redeem points according to the unified mechanism across all three tiers (Silver, Gold, Diamond) and as regulated at each period.

Participate in lucky draw programs (if any).

Receive program information via registered customer email, notifications on the Golden SpoonS mobile app, and official program website.

Enjoy exclusive benefits for Golden SpoonS account holders as regulated by the program in each period.
